The obligations (as defined in a credit agreement dated 21ST august 2001 between finova capital corporation (the "borrower") and berkadia llc (the "lender") (the "credit agreement") ) and the unpaid principal of and interest on the intercompany note (as defined in the credit agreement) and all other obligations and liabilities of the borrower which may arise under, out of, or in connection with the intercompany note or any other loan document (as defined in the debenture) or any other document made delivered or given in connection therewith in each case whether on account of principal interest guarantee obligations fees indemnities costs expenses or otherwise.
