- The Chase Manhattan Bank as Collateral Agent and Trustee for the Banks (In Such Capacity, the "Collateral Agent")
Amount secured
(I) the aggregate unpaid principal amount of all loans owing by the firm to any bank and all reimbursement obligations of the firm to any bank in respect of drawings under all letters of credit issued by any bank for the account of, or at the request of, the firm, (ii) the aggregate amount of all accrued but unpaid interest and fees owing by the firm to any bank in respect thereof, (iii) the aggregate undrawn face amount of all letters of credit (other than any letter of credit which has expired or been cancelled and in respect of which the issuing bank is under no actual or contingent liability), (iv) the aggregate unpaid principal (or equivalent) amount of all obligations owing by the firm to any bank under any other financial accommodations, (v) all other present and future obligations and liabilities owing by the firm to any bank (whether actual or contingent and whether owed jointly or severally or in any other capacity whatsoever) and (vi) all amounts payable by the firm uunder this agreement (including, without limitation, the reasonable fees and expenses of the collateral agent and its counsel), in each case at such time

By way of first fixed charge the (I) collateral accounts (ii) the securities deposited or held from time to time in the securities collateral account (iii) all cash deposited or held from time to time in the collateral accounts and (iv) all proceeds of any and all thereof (the collateral).
