Pursuant to the first tap mortgage sale agreement the company is obliged to pay (I) to residential mortgage securities 4 PLC (RMS4) an amount equal to the aggregate of the amounts paid by RMS4 to the company for invalid loans which do not verify and (ii) to st. James's park mortgage funding limited (sjpmf) an amount equal to the purchase price of those invalid loans which verify together with all accrued interest thereon from 24TH september 1998 to the payment verification date subject to such amounts not exceeding the first tap collateral amount
