Brief description
As security for the payment to the lender of the secured sums and the performance of the obligations and the observance of the warranties and undertakings of the company under or pursuant to the charge and the loan agreement the company:(a) with full title guarantee charges to the lender by way of first fixed charge all of the company’s right title and interest in and to any and all present and future rights of copyright design right know how patent registered design right service mark trade mark and any other intellectual property rights of any description whatever which are now assigned to or licensed to the company or which have been acquired by or created by the company prior to the date of this charge or are acquired by or created by or assigned to or licensed to the company at any time during the subsistence of this security including without limitation those intellectual property rights short particulars of which are contained in schedule 1 of the deed of charge including specifically all goodwill associated with such intellectual property rights but excluding all other goodwill of the company (the "ipr");(b) with full title guarantee charges to the lender by way of first fixed charge all of the company’s right title and interest in and to the exploitation agreements relating to the ipr which are capable of being charged by the company;(c) with full title guarantee charges to the lender by way of first fixed charge all those third party rights relating to the ipr which are capable of being charged by the company;(d) with full title guarantee charges to the lender by way of first fixed charge the physical materials relating to the ipr;(e) with full title guarantee charges to the lender by way of first fixed charge all of the company’s present and future equipment relating to the ipr or the third party rights relating to the ipr or the physical materials relating to the ipr; (f) with full title guarantee charges to the lender by way of first fixed charge all the company’s rights of action in respect of the ipr and the physical materials relating to the ipr which have not been charged to the lender pursuant to the earlier provisions of this charge including without limitation the right to commence proceedings and/or receive and recover damages in respect of any infringement of the ipr in any part of the world whether such infringement occurred before or after the date of the charge and whether or not the company or any ipr user has commenced proceedings in respect of such infringement; (g) with full title guarantee charges to the lender by way of first fixed charge all applications relating to the ipr and all the company’s right title and interest in and to such applications and all rights powers privileges and immunities arising or accruing from such applications together with all corresponding rights obtainable in any part of the world and the benefit of any priority dates attaching to the applications;(h) with full title guarantee charges to the lender by way of first fixed charge the entire interest of the company in and to all proceeds of any insurance policies relating to the ipr now or in future taken out together with the entire benefit of any rights devolving upon the company under or pursuant to any such insurance policy;(i) undertakes to hold upon trust for the lender absolutely the entire interest of the company in and to all those assets, rights or otherwise charged pursuant to clauses (a)to(h) which cannot be charged by the company together with the entire benefit of such rights including without limitation all proceeds money and other rights and benefits to which the company is beneficially entitled in respect of such assets rights or otherwise..
