As continuing security for the payment and discharge of the secured liabilities (as defined in the debenture granted by the chargor to the chargee on 29 april 2022) the chargor, with full title guarantee, charges to the chargee, by way of legal mortgage, the property (as defined).. As continuing security for the payment and discharge of the secured liabilities, the chargor, with full title guarantee, charges to the chargee, by way of fixed charge:. (A) all properties (as defined) acquired by the chargor in the future;. (B) all present and future interests of the chargor not effectively mortgaged or charged under the preceding provisions in, or over, freehold or leasehold property;. (C) all present and future rights, licences, guarantees, rents, deposits, contracts, covenants and warranties relating to each property;. (D) all licences, consents and authorisations (statutory or otherwise) held or required in connection with the chargor’s business or the use of any secured asset (as defined), and all rights in connection with them;. (E) all its present and future goodwill;. (F) all its uncalled capital;. (G) all the equipment (as defined);. (H) all the intellectual property (as defined);. (I) all the book debts (as defined);. (J) all the investments (as defined); and. (K) all its rights in respect of each insurance policy (as defined), including all claims, the proceeds of all claims and all returns of premium in connection with each insurance policy.. As continuing security for the payment and discharge of the secured liabilities, the chargor, with full title guarantee, charges to the chargee, by way of floating charge, all the undertaking, property, assets and rights of the chargor at any time not effectively mortgaged or charged pursuant to the above provisions.
