The full benefit of an agreement ("the agreement") dated 9TH january 2003 and made between the company (1) and felton construction limited (2) and all the right title and interest of the company whatsoever both present and future and whether proprietary contractual or otherwise under or arising out of the agreement and to complete performance of the agreement all claims for damages arbitration proceeds and other debts owed to the company and all other rights and remedies of the company respectively arising directly or indirectly out of or in connection with any breach of the terms of the agreement all the right title and interest of the company in and to any insurance which may be taken in respect of the property k/a unit BT911/32 wavertree technology park stephenson way wavertree liverpool merseyside t/n MS452662 ("the property")together with all proceeds of any such insurance and all returns of premiums all the company's right title and interest in the property all plant machinery tools drawing plans building materials and other moveable and immovable items of whatsoever nature belonging to the company now or from time to time placed on the property the benefit of all professional appointments (as defined in the legal charge) and all claims for damages (as defined in the legal charge) and all claims for damages arbitration proceeds and all other debts owed to the company and all rights and remedies of the company respectively arising directly or indirectly out of or in connection with any breach of the professional appointment and the agreement.
