Brief description
Security interest. The shareholders with full title guarantee (with the intent that the security so constituted shall extend to all beneficial interests of the shareholders in the security assets): (a) mortgages, pledges, charges and otherwise creates a security interest in, and agrees to mortgage, pledge, charge and otherwise create a security interest in, the shares in favour of the lender; and (b) assigns to the lender absolutely all rights and interests of every kind which now or at any later time it has to, in or in connection with the derivative assets, as security for the secured liabilities and the performance of all obligations under this deed or otherwise relating to them.. Shares means (a) the original shares and (b) all other shares in the corporation from time to time owned by the shareholders during the facility period (and includes all stocks, shares and other securities offered or accruing at any time by way of redemption, bonus, rights, preference or otherwise to the shareholders in respect of all or any of the shares or offered in substitution or exchange for all or any of the shares).. Derivative assets means all dividends, interest and other moneys paid or payable after the date of this deed on all or any of the shares and all rights accruing at any time to or in respect of all or any of the shares (including, without limitation, put and call options, pre-emption rights and any proceeds of sale or other realisation of all or any part of the shares).
