Brief description
4.1 legal mortgage subject to clause 4.6 (excluded property), as a continuing security for the payment and discharge of the secured liabilities, each obligor with full title guarantee charges to the agent, by way of first legal mortgage, its rights, title and interest in the property specified in schedule 3 (if any). 4.2 fixed charges subject to clause 4.6 (excluded property), as continuing security for the payment and discharge of the secured liabilities, each obligor with full title guarantee charges to the agent the following assets, both present and future, from time to time owned by it or in which it has an interest by way of first fixed charge: 4.2.1 all properties acquired by the obligors in the future together with all buildings and fixtures (including trade fixtures) on that property and all related rights; 4.2.2 all of its present and future interests not effectively mortgaged or charged under the preceding provisions of this clause 4 in, or over, freehold or leasehold property together with al buildings and fixtures (including trade fixtures) on that property and all related rights; 4.2.3 all present and future rights, licences, guarantees, rents, deposits, contracts, covenants and warranties relating to each property; 4.2.7 all its intellectual property. "Intellectual property" means the obligors' material present and future patents, rights to inventions, copyright and related rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world. "Properties" means all freehold and leasehold properties (whether registered or unregistered) in england or wales, now or in the future (and from time to time) owned by each of the obligors, or in which any of the obligors hold an interest (including, but not limited to, the properties specified in schedule 3), and property means any of them.
