By way of first fixed charge:. (A) all the property from time to time owned by SC midco 2 limited;. (B) any other rights, title or interest of SC midco 2 limited in property, wherever situated;. (C) all proceeds of sale of the property listed at (a) above, all rights, powers, benefits, covenants, warranties, guarantees or security given or implied in respect of the property listed at (a) above, all rights under any agreement for sale, agreement for lease or licence of or in respect of the property listed at (a) above, and any monies and proceeds paid or payable in respect of the property listed at (a) above; and. (D) all intellectual property (if any) owned by SC midco 2 limited or in which SC midco 2 limited has an interest (to the extent of such interest).
