Brief description
All property charged under clause 2.2 of the instrument, including:. (1) by way of a first legal mortgage all estates or interests in any freehold or leasehold property now owned by it; this includes the real property (if any) specified in schedule 2 (real property) of the instrument (to the extent owned by it):. A) land and buildings known as 59 and 61 church street and 1 – 3 parker street, liverpool (title numbers: (I) freehold - MS650184, and (ii) leasehold – MS518494). B) 5, 7 and 9 parker street, liverpool (title number: leasehold – MS652151). C) land and buildings known as crown hotel, market square, marlow, SL7 3HH (title number: freehold – BM18440). D) land and buildings known as 24 - 26 the martlets, crawley, RH10 1ES as demised (title number: leasehold – WSX354614 (headlease), and WSX179086 (superior lease)). E) land and buildings known as 49/53 northumberland street, newcastle (title number: leasehold – TY501222). F) land and buildings known as 78 – 92 foregate street, chester CH1 1HB (title number: freehold – CH225872), and. (2) (to the extent that they are not the subject of a mortgage under clause 2.2.1.1 of the instrument) by way of a first fixed charge all estates or interests in any freehold or leasehold property now or subsequently owned by the company.. By way of first fixed charge, all the company's intellectual property (as such term is defined in the instrument), being:. A) any patents, trade marks, service marks, designs, business names, copyrights, database rights, design rights, topography rights, domain names, moral rights, inventions, confidential information, knowhow and any other associated or similar intellectual property rights and interests anywhere in the world (which may now or in the future subsist), and in each case whether registered or unregistered; and. B) the benefit of all applications, rights to apply for and rights to use such assets (including, without limitation, any licences and sub-licences of the same) (which may now or in the future subsist).
