Brief description
Pursuant to an english law deed of security assignment and charge dated 18 july 2021 and entered into between express delivery productions limited (the "chargor") and library films llc and cloverleaf industries ky (the "chargees") in relation to the development, financing and production of a documentary audiovisual project currently entitled “untitled newall murders project”, the chargor to (or in favour of) the chargees (1) assigns, by way of a security assignment with full title guarantee, all of its certain intellectual property rights (including, without limitation, copyrights) and all of its rights, title and interest in relation to certain assigned agreements and collateral accounts; (2) charges with full title guarantee by way of a first fixed charge all of its rights, title and interest in and to its licences, property, goodwill, investments and collateral accounts, and (3) charges with full title guarantee by way of first floating charge, all of its present and future asset and undertakings, not effectively charged or assigned under the fixed charge or assignment (as described above).
