Brief description
Pursuant to a debenture dated 16 february 2018 made between pure residential & commercial (denbigh) limited ("the mortgagor") (1) and close brothers limited ("the bank") ("the mortgage debenture") (2) the mortgagor charges to the bank with full title guarantee its undertaking and all its property and other assets including its uncalled capital and the security created shall rank by way of:. A) a fixed charge of all estates and other interests in freehold leasehold and/or unregistered immovable property belonging to the mortgagor;. B) a fixed equitable charge of all estate or interests in any freehold or leasehold property belonging to the mortgagor;. C) a fixed charge by way of legal mortgage on the plant and machinery chattels vehicles computers and/or other equipment of the mortgagor with the benefit of any obligations warranties and rights given by or arising against any person. In connection with the supply or manufacture;. D) a fixed charge of all stocks shares loans capital bonds or other investments and securities;. E) a fixed charge by way of assignment of its goodwill and by way of fixed charge its uncalled capital in existence and future calls;. F) a fixed charge by way of legal assignment of the block debts of the mortgagor and cash at bank due or owing to the mortgagor;. G) a fixed charge by way of legal assignment on all the copyright in all drawings designs specifications plans manufactured by the mortgagor;. H) a fixed charge by way of assignment of the benefit to the mortgagor of all rights and claims to which the mortgagor is now or may become entitled in relation to the real property;. I) a fixed charge by way of assignment of the mortgagor's interest in:. A. the benefit of all guarantees warranties and representations and any rights or remedies against all or any of the professional advisors engaged by the mortgagor in relation to the charged property and any other person firm or company under contract with or under a duty to the mortgagor including the right to prosecute in the name of the mortgagor any proceedings against any such person in respect of any act omission neglect default breach of contract or breach of duty and the benefit of all sums recovered in any proceedings;. B. the benefit of all rights and claims to which the mortgagor is now or may become entitled under all building contracts relating to the real property and all guarantees warranties and representations given or made by and any rights and remedies against all or any building contracts engaged in relation to all or any part of the real property the right to prosecute in the name of the mortgagor any proceedings against any such persons in respect of any act omission neglect default breach of contract or breach of duty;. J) a fixed charge by way of assignment (in so far as the mortgagor is able):. A. the benefit of all agreements for lease and all proceeds of any payment of any claim arising out of such and all sums paid or payable to the mortgagor under or in respect of any such agreements for lease;. B. the benefit of all rental income and all right title and interest and the right to make demand for and to receive the same but so that nothing in this sub-lease shall constitute the bank as mortgagee in possession and the mortgagor hereby covenants to give to the bank such information in regard to the rental income direct as the bank may designate in the name of the mortgagor without prejudice to any other remedy of the bank shall be entitled without demand or notice to the mortgagor to appropriate all or any sums standing to the credit of the rent account due from the mortgagor to the bank;. C. all that interest of the mortgagor in any contracts and policies of insurance effected or maintained in respect of the real property;. K) a floating charge on all the undertaking and other property assets and rights of the mortg.
