Brief description
(1) by way of legal mortgage, the leasehold land and buildings known as 91-99 summer hill road, birmingham, B1 3RH registered at land registry under title number WM783770 and any other freehold, leasehold or commonhold property owned by the chargor or which may in the future be owned by the chargor; (2) by way of fixed charge: (I) all present and future estates or interests of the chargor in, or over, any freehold, leasehold or commonhold property (other than any such property effectively mortgaged under clause 3.1 of the instrument); (ii) the benefit of the development documents and all other contracts, guarantees, appointments and warranties relating to each charged property and / or the units and other documents to which the chargor is a party or which are in its favour or of which it has the benefit relating to any letting, development, sale, purchase, use or the operation of any charged property and / or the units or otherwise relating to any charged property and / or the units (including, in each case, but without limitation, the right to demand and receive all monies whatever payable to or for its benefit under or arising from any of them, all remedies provided for in any of them or available at law or in equity in relation to any of them, the right to compel performance of any of them and all other rights, interests and benefits whatever accruing to or for its benefit arising from any of them); (iii) all licences, consents and authorisations (statutory or otherwise) held or required in connection with the chargor's business or the use of any secured asset, and all rights in connection with them; (iv) all the chargor's present and future goodwill; (v) all the equipment; (vi) all the intellectual property; (vii) all the investments; (viii) all the chargor's rights in respect of each insurance policy, including all claims, the proceeds of all claims and all returns of premiums in connection with each insurance policy, to the extent not effectively assigned under clause 3.3 of the instrument; and (ix) all the chargor's rights in any other agreements, instruments and rights relating to the secured assets, to the extent not effectively assigned under clause 3.3 of the instrument. (3) by way of assignment (I) all the chargor's rights in each insurance policy, including all claims, the proceeds of all claims and all returns of premiums in connection with each insurance policy; and (ii) the benefit of all other agreements, instruments and rights relating to the secured assets.
