Brief description
Pursuant to the deed of security assignment and charge dated 20 may 2021 and entered into between book of love film LTD (the "chargor") and megadodo publications ky (the "agent") in relation to the full length motion picture film provisionally entitled "book of love", the chargor (1) assigns absolutely to the agent all of certain intellectual property rights (including, without limitation, copyrights) and all of its rights, title and interest in relation to certain assigned agreements and collateral accounts; (2) charges by way of a first fixed charge all of its rights, title and interest in and to its licences, property, goodwill, investments and collateral accounts and (3) charges by way of first floating charge, all of its present and future asset and undertakings, not effectively charged or assigned under the fixed charge or assignment (as described above), in favour of the agent.
