Brief description
As a continuing security for the payment and discharge of the secured liabilities, the borrower with full title guarantee charges to the lender, by way of a first legal mortgage, all estates or interests in any freehold, leasehold or commonhold property now owned by it, including the real property (if any) specified in schedule 1.. as a continuing security for the payment and discharge of the secured liabilities, the borrower with full title guarantee charges to the lender by way of a first fixed charge: all present and future estates or interests of the borrower in, or over, any freehold, leasehold or commonhold property (other than any such property effectively mortgaged under clause 3.1); all of the borrower’s present and future intellectual property including, but not limited to, any contractual or non-contractual right of the borrower to use the intellectual property of any third party in connection with the borrower’s business and including the intellectual property listed in schedule 4 being (1) all copyright, know how, confidential information in the formulas and associated precedent research; (2) the UK trademark for vitacaps registered with the trade marks registry under no. UK00003987734; (3) the international trademark filing currently in progress with the international trademark system under reference number N6873-00002; (4) all brand manuals, visual designs, packaging designs and visuals and written output from hej branding agency as well as online access codes (dn); and (5) any and all other ip, supplier accounts, and any other counterparties that may not be listed specifically; and all of its trademarks..
