Brief description
Vbc film LTD (the “company”) (for itself only and to the extent of its rights, title and interest) as a continuing security (but only insofar as the company owns such rights). 5.1 charges absolutely to film finances inc and film finances international (collectively the “guarantor”) all present and future rights, title and interest of the company of and in the “film” and in the “screenplay” (as those terms are defined in the deed instrument between the guarantor and the company dated 3RD february 2025 (the “deed”)) and all other written and musical matter embodied or to be embodied or used in the film or acquired in connection with its production and the negative and prints thereof and all rights of representing, exploiting and exhibiting the same, other than the “excluded assets” (as that term is defined in the deed); and. 5.2 assigns absolutely to the guarantor all present and future interest and rights of the company of and in the “financing agreement” and the “ppsa” (as those terms are defined in the deed) and all other present and future agreements entered into by the company in connection with the production of the film, other than the excluded assets; and. 5.3 charges in favour of the guarantor with the payment and discharge of the “secured sums” (as that term is defined in the deed) by way of first fixed charge all present and future property acquired for the production of the film, other than the excluded assets; and. 5.4 charges in favour of the guarantor with the payment and discharge of the secured sums by way of first floating charge the whole of the company's undertaking and assets, wheresoever and whatsoever, present and future, other than any assets for the time being effectively assigned or charged to the guarantor pursuant to the previous sub-clauses of this clause or otherwise howsoever but, notwithstanding anything to the contrary contained herein, excluding the “UK tax credit amount” and the “coutts repayment account” (as those terms are defined in the deed) (together the "excluded assets");.
