All monies. Debenture all and singular the companys under- taking and all its property and assets whatsoever and wheresoever both present and future including (without prejudice to the generality of the charge created thereby) its uncalled capital and good- will and which said debenture is to rank as a first charge on all the property and assets of the company and such charge shall (I) as regards the companys existing freehold and leasehold property the fixed plant machinery and fixtures thereon its uncalled capital and good- will be fixed or specific and (ii) as regards all other property and assets of the company both present and future be a floating charge provided however that the company should not during the sub- sistence of said security be at liberty to create any mortgage debenture or charge over or permit any lien to arise on or to affect any of the property charged by the said debenture ranking in priority thereto or pari passu there- with.
