All monies.fixed charge on book debts and credit balances. (A) all the company's book debts and other debts at the date of the deed and from time to time due or owing to the company (the "debts") and all moneys which the company receives in respect thereof. (B) all balances standing to credit of any current, deposit or other account of the company with the bank (including inter alia any specifically designated account for the proceeds of the debts of the company) or with other bankers, financial institutions or similar third parties (the "credit balances") (c) and debts or credit balances from time to time or for the time being not effectively mortgaged or charged to the bank by way of fixed charge under (a) or (b) above. The company shall not be at liberty to create any mortgage or charge ranking in priority to or pari passu with these presents without the prior written consent of the bank. It is provided that the company will not without the prior consent in writing of the bank sell, discount, factor, assign or otherwise dispose of any of its books and other receivables.
