All monies. Charge over book debts as a first fixed charge all existing and future book debts and other debts and sums receivable and its goodwill and uncalled capital. By way of first floating charge all the company's undertaking and assets whatso- ever and wheresoever both present and future. Note:- by virtue of this deed the borrower is not entitled to create or permit to subsist any mortgage charge lien or other encumbrance whether fixed or floating on the whole or any part of its property or assets without the consent in writing of the mortgagee first had and received.
