Mortgage debenture 1. all lessees fixtures fittings furnis- hings at yorkgate centre. 2. all lessees fixtures fittings and furnishings in or about yorkgate centre acquired after the date of this mortgage debenture. 3. all the undertaking and all other pro perty assets and rights whatsoever and wheresoever present and/or future (including the companys uncalled capital the company is not at liberty without the consent in writing of york street developments limited to A. create any mortgage or charge ranking in priority to or pari passu with that charge and/or B. sell the whole or except in the ordin ary course of business any part of york- gate bingo company limited's undertaking C. vary surrender cancel assign charge or otherwise dispose of or permit to be forfeited any credit sale hire purchase leasing rental licence or like agreement or contract for any plant machinery vehicles or equipment used in its busin- ess considered by york street develop- ments LTD to be material or agree the revision of any rent or charge or other payment thereunder and generally perform and observe and fulfill its obligations under every such agreement and contract and when required produce to york street developments LTD sufficient evidence of such performance observance or fulfilmen.
