Legal charge. For further securing the payment of the secured liabilities, merepark project management LLP (the “borrower”) as beneficial owner hereby charges in favour of joanne dalton (the “lender”) the mortgaged property to hold the same unto the lender absolutely subject to the proviso for redemption contained in the debenture dated 20 august 2014 between the borrower and the lender (the “security document”).. Fixed charges. As a continuing security for the payment and discharge of the secured liabilities, the borrower with full title guarantee charges to the lender by way of first fixed charge:. • all properties acquired by the borrower in the future;. • all present and future interests of the borrower not effectively mortgaged or charged under the provisions of the clause 3.1 and clause 3.2.1 of the security document in, or over, freehold or leasehold property;. • all present and future rights, licences, guarantees, rents, deposits, contracts, covenants and warranties relating to each property;. • all licences, consents and authorisations (statutory or otherwise) held or required in connection with the borrower's business or the use of any secured asset, and all rights in connection with them;. • all the intellectual property;. • all its rights in respect of all agreements, instruments and rights relating to the secured assets, to the extent not effectively assigned under clause 3.3 of the security document.. Definitions. Facility agreement: the facility agreement dated on or about the date of the security document between the borrower and the lender for the provision of the loan facilities secured by the security document.. Intellectual property: the borrower's present and future patents, trade marks, service marks, trade names, designs, copyrights, inventions, topographical or similar rights, confidential information and know-how and any interest in any of these rights, whether or not registered, including all applications and rights to apply for registration and all fees, royalties and other rights derived from, or incidental to, these rights.. Mortgaged property: the indebtedness secured by the legal charge entered into by merepark partnership limited in favour of the borrower and dated on or about the date of the security document (“legal charge”) and all interest (if any) to accrue due thereon and the benefit of all covenants, obligations, powers and provisions contained in or conferred by the legal charge and all securities for the same and generally the whole benefit of the legal charge.. Properties: all freehold and leasehold properties (whether registered or unregistered) and all commonhold properties, now or in the future (and from time to time) owned by the borrower, or in which the borrower holds an interest and property means any of them.. Secured assets: all the assets, property and undertaking for the time being subject to the security created by, or pursuant to the security document.. Secured liabilities: all present and future monies, obligations and liabilities of the borrower to the lender, whether actual or contingent and whether owed jointly or severally, as principal or surety or in any other capacity, under or in connection with the facility agreement or the security document (including, without limitation, those arising under clause 29.3.2 of the security document), together with all interest (including, without limitation, default interest) accruing in respect of those monies, obligations or liabilities.
