By way of first fixed charge right title and interest in and to the following in relation to the motion picture provisionally entitled "sex & drugs & rock & roll" (the film) and all collateral ancillary and subsidiary rights in the film: all pre-print elements capable of producing prints or additional pre-print elements, all soundtrack elements, any and all documents, books or records, all machinery, equipment, fixtures, implements, all present and future deposit and other accounts in connection with the production, all versions of physical properties, all insurance policies, by way of assignment all literary property and material, the entire copyright, all rights to the music and music compositions, all contracts and contract rights, rights in and to the distribution agreements, the collection agreements, the sales agency agreement, the production agreement and other relevant agreements, the title of the film, all rent, revenues, income, compensation, lease, sublease, marketing, licensing, exhibition, broadcast, transmission, ownership, reproduction of the film, by way of floating charge all present and future undertaking relating to the film.
